Important Compliance Note
- 1.The resident director service is subject to a suitability review. We do not accept every company — your business must have a clear, legitimate purpose and transparent ownership.
- 2.The director acts within the scope defined in the mandate agreement. They are not involved in day-to-day operations, business decisions, or commercial strategy unless specifically agreed in writing.
- 3.Ultimate responsibility for the company's legal and tax compliance rests with the shareholders and the company itself. The resident director facilitates compliance but does not replace professional legal or tax advice.
- 4.A resident director appointment is not a residency or work permit solution for the founders. It fulfils a corporate law requirement; immigration matters are separate.
Why Swiss Companies Need Local Representation
Swiss corporate law requires that at least one person authorised to represent the company — a director or managing officer — is resident in Switzerland. This individual must have a Swiss residential address and be able to exercise their signatory authority from within Switzerland.
For international founders who live outside Switzerland and do not have trusted local associates, this requirement can be a significant obstacle. A GmbH cannot be registered without a Swiss-resident managing officer, and an AG cannot operate without at least one Swiss-resident board member with signatory rights.
Our resident director service provides the solution: a qualified, vetted Swiss-based professional who fulfils this legal role under a formal mandate agreement. You retain full ownership and strategic control of your company; the director provides the local presence required by Swiss law.
Due Diligence Process
Appointing a resident director is a serious matter for all parties. We follow a structured process to ensure the arrangement is appropriate, transparent, and compliant:
Client Suitability Review
We assess your business, its activities, and its ownership structure. The director must be comfortable that the company has a legitimate business purpose and that there are no red flags — regulatory, reputational, or otherwise.
Director Introduction
If your business passes the suitability review, we introduce the proposed director. You review their profile, background, and experience to ensure mutual fit.
Mandate Agreement
A detailed mandate agreement is signed, defining the director's scope of authority, limitations, reporting obligations, term, compensation, and termination provisions.
Commercial Registry Filing
The director's appointment is filed with the commercial registry. Once published in the SHAB, the appointment is legally effective.
Mandate Agreement Protections
The mandate agreement is the cornerstone of the resident director relationship. It is designed to protect both parties and to ensure the arrangement is legally sound:
- Clearly defined scope of the director's signatory authority
- Specific limitations — e.g. the director cannot open bank accounts, take loans, or sell assets without shareholder approval
- Reporting obligations to the shareholders at agreed intervals
- Right of the shareholders to remove and replace the director at any time
- Indemnification provisions in favour of the director for acts performed in good faith
- Term and termination provisions including notice periods
